Upgrading Hardware: Need to reinstall

I will be upgrading all but a few pieces of my computer
soon, and I was wondering what to expect when trying to re-
install my OS? The "Activation" process that is required
upon initial installation sounds as though it is going to
prevent me from installing Windows XP Pro on my upgraded
machine. Here are the essentials:
Upgrading from PIII 733 to a P4 3.2 (Processor&MB)
Upgrading RAM
Upgrading Case/Powersupply
Loosing sound card (now built into MB)
Same Video Card
Same ROM drives
Same Floppy.

Simply changing out the components and rebooting, allowing
the OS to install new drivers is not a valid option. Not
only am I not sure it will even work, but I want a clean
install with a new MB and Processor installation. I
certainly hope the answer is not to "buy a new copy of the
Windows", as that may drive me over the edge to Linux
LOL.

Easy solution - you will have to do a "Repair' install of XP and it should
find everything new. Boot from the XP CD to do it.
