I have an older pc with 98SE OEM installed. Will I be able to upgrade to
Win XP with the 98SE OEM install cd as proof of ownership?

Thanks

Purchase a "Retail Upgrade Version" of Windows XP,
insert the CD in the CD Drive and select "Upgrade".

Depends if it is a regular CD supplied OEM, containing a win98 folder
of cab files, in which case you can use it as evidence in a clean
install, or if it is a 'restore' one that contains an 'image' of the
system as supplied, which would not be recognised. You would have to do
the restore, then run the XP CD from it to upgrade.

First make sure you have adequate hardware; without a 400MHz or faster
CPU and *more* than the recommended 128 MB RAM (so say 256) I would not
try
