I want to upgrade to Win XP and I have a qualifying earlier version of
Windows that came pre-installed on my computer (Win98). I don't have a
Win98 CD. I would like to change from FAT32 to NTFS. Can I buy the
Upgrade version of XP, start it within Win98 so that it knows that I
qualify for the upgrade, and then partition and format my hard drive
(wiping out the evidence of my qualifying earlier version in the
process)?

Yes, but you'll have a problem if you ever have to reinstall clean. How
will you show onwership of a qualifying version - you can't.
