If this was an OEM installation of XP Home, I don't know that you'll be able
to run the upgrade - as far as I know, you can upgrade only from a retail
version of Windows XP. Where does it fail? Did you check with Toshiba
support on this?

Always uinstall antivirus software before doing any ugrade - and back up all
your data....

Did you call Toshiba support? Like I said, I don't think you can upgrade an
OEM copy of WinXP, but I may be wrong.

Is it possible that the system continues to reboot from the CD after
restarting?
Maybe try changing the 1st boot drive in the BIOS to C when the computer
restarts, so instead of starting the upgrade again, it boots from your newly
upgraded C drive instead

Fiorst I'd make sure you have an installation CD for your system (not
restore), then do a cleans install of the new OS, inserting the
install media of the original OS as requested.
