Upgrade from Windows ME to XP

When I try to install the Windows XP home edition upgrade
I get the following error message; The file D:\I386
\WINNT32A.DLL cannot be loaded or is corrupt. Setup
cannot continue. I have searched the microsoft website
for an answer and have found none.

My computer meets the Windows XP home edition upgrade
system requirements so I do not understand what is wrong.
I am NOT a computer expert and need help!

RESOLUTION:
=============
NOTE: This would happed when the CD is damaged.

Please copy the Cd contents to Harddisk if you have enought free space.
If the copy process fails the data on the CD may be damaged. Please return
the disk
If the copy process is completed without error message, then install from
the Harddisk.
