Update window hung open at start up/log on

Upon hard/soft boot and/or user logon, an "Update" window
(the window has a MS 'Windows' flag on the header bar) is
open on the desktop that has no text or other information
visable. I have to manually close this window and upon
doing that another small window appears with nothing but a
red circle and an 'X' in it, that I also have to close
manually. I have just started to have this issue and have
never delt with this before with any system.

When I access the task manager, it shows an 'Update'
application running and when I click the 'Goto process' it
highlights MSMNGR32.EXE as the process in use.

I have run out of ideas and need some help. I never had to
close a MS update window down because the program itself
should be running in the background and not get hung up in
a surface window on the desktop.

WIN2000 pro
Abit MB w/ AMD
768 RAM
