Unattended upgrade to XPPro

Hi all,
I'm in the process of upgrading our 150 machines from W2K pro to Xp Pro,
some get clean, new installs (and that's no problem automating) but some are
too loaded with special SW etc. and have to be upgraded. But how do I do
that real unattended?

I want to just run a simple command from a network share that starts an
unattended upgrade,
- with dynamic update
- automatically assigning CD key
- axepting all driver issues (manually fix problems after install..)

Help me out here, I cannot find much relevant in my docs.
