SP4 Upgrade

trying to install sp4 - error during install because
c:\winnt\system32\tftp.exe is in use by another
application even though nothing else is running. Anybody
seen this?
 
Have not seen that file explicitly, but the same error
with file mscpxl32.dll. Can't get past it. Stopped all
services, tried in safe mode. No luck...
