something not closed by the time WIndows wants to shut down from Shutdown.

One of those small Windows 98 looking windows appears and says something
like...sry I'm trying to remember what I read...something about memory or an
application mentioned a file...dwwin.dl or something like that.
 
....so is the problem supposed to be with Windows Error Reporting service?
