Shuting Down taking too long?? Why?

I'm using Windows XP SP2 and whenever I shut down my computer it takes about
5 mins to shut down. It takes about 2 mins to go to the log off stage and
then the windows is shutting down message appears for about 3 mins and then
it finally shuts down. Just wondering if any1 knows why it is taking so long?
Booting up is also slow??

Could these problems be to do with my launch icons?

How can i solve this?

Are you using an APC UPS with the business edition of the APC software?

Are there too many items loading during startup? Also check if its time for a disk cleanup and defrag, these could help speed up boot and shutdown. Here a link on shutdown problems with XP
