shutdown problem after dialup sessions

my system immediately reboots after shutdown. it only
occurs after going on the internet. If i just startup &
shutdown, it powers down normally, but if i go online
(using dialup), then shut down, the computer appears to
shut down normally, but immediately restarts.

any ideas???
