Shutdown of Computer

I recently had my motherboard go bad on me(ASUS P4G800-E). I now have an
Intel 865 PERL Board. Win xp will go through all the shutdown process and
actually shut the computer down for about a second and then the system will
re-start automatically. I have made sure the auto-restart is unchecked in the
properties of system failure. I do not have ROXIO Easy CD. I have looked into
the Bios but did not see anything that might cause the problem. All my "Wake
on" settings are set to stay off.
Anyone have any ideas what might be the problem?
 
Tom, since you replaced the Motherboard check all the switch wiring from
the Case.
