Shut Down

For the past week I have been receiving the following message when I shut
down the PC. Windows Explorer hasd encountered a problem and needs to close.
Event Type InPageError
P1: C000009C and P2: 00000003
I also got a message about Windows XP Storage Error and then the PC tries to
shut down but keeps on rebooting??? I end up just shutting off the power.
Help or advice would be appreciated.
