In event viewer, clear all event logs. Then check if the same error
shows up if you boot Windows XP into its Safe Mode without networking.
If no error then reboot into safe mode with networking. If still no
error then see what happens if you disable all startup items and reboot
into normal mode.

When was the last time you updated and ran a full scan by your
anti-virus software (which you didn't identify)? If that runs clean,
what secondary (and passive for on-demand scan only) anti-virus program
have you used to provide overlap coverage? Malware that installs
drivers can cause this problem. If it's a malware driver, it could be
operating as a rootkit, so you need to use an AV program that lets you
do a boot-time scan plus there are tools to detect rootkits that are
using drivers or stacked system calls to hide their files and processes.
Have you cleaned (and checked they got cleaned) all the temp folders
(%temp%, %windir%\temp)? I've seen drive-by malware that dumped its
executable in %temp% and then define a service that loads from there
(*no* NT service should be loading from a temp folder).

Good chance it's a virus.
Download avast free antivirus and scan the system.

I am using AVG 2012 and Malwarebytes. All up to date. However, I have not
done a Rootkit Scan. I will do it now - just running it on my other (Widows
7) PC as I type this.

Thanks for the info.

Still struggling. Today I found that my AVG Antivirus locks up on a
particular Registry line when doing a machine scan. The whole PC freezes. I
went into Regedit to look at the entry - and the PC froze on that particular
line. Any ideas?
