Some terminology you need to clear up for me..

You say you cannot find your "recovery CD" for Windows ME and this laptop.
Was your "recovery CD" an actual installable copy of Windows ME or was it an
"image" of the machines as it was when you bought it?

Then you go to say that you have the "XP recovery CD" - which leads me to
believe you meant "Windows ME Installation CD" and "Windows XP Installation
CD" for both of these and those CDs are indeed full and installable versions
of the media.

So my question for you once you clear all that up - what type of CD is your
Windows XP CD? Upgrade or Full Retail?

If "Upgrade" - then you have to find your other OS CD in order to perform a
clean installation with it (assuming it was not just some image of your
machine when you bought it and an actually Windows ME CD - it would be the
"qualifying media" for the Windows XP "upgrade" during the clean
installation process.)

If "Full Retail" - then you can install it where ever you want - on any
single computer you want.

I don't see how it could be expected to work. First of all, because
the PC came with WinMe, the Product Key affixed to the case will only
work for a WinMe installation; it can't be used to install WinXP.
Secondly, a WinXP Recovery CD will have been specifically designed to
install *only* on the specific make and model computer with which it was
purchased; it shouldn't work on a different computer.

If you want to upgrade your WinMe computer to WinXP, go purchase a
legitimate WinXP Upgrade license.

Have you made sure that your PC's hardware components are capable of
supporting WinXP? This information will be found at the PC's
manufacturer's web site, and on Microsoft's Windows Catalog:
(http://www.microsoft.com/whdc/hcl/default.mspx) Additionally, run
Microsoft WinXP Upgrade Advisor to see if you have any incompatible
hardware components or applications.

You should, before proceeding, take a few minutes to ensure that
there are WinXP device drivers available for all of the machine's
components. There may not be, if the PC was specifically designed for
Win98/Me. Also bear in mind that PCs designed for, sold and run fine
with Win9x/Me very often do not meet WinXP's much more stringent
hardware quality requirements. This is particularly true of many models
in Compaq's consumer-class Presario product line or HP's consumer-class
Pavilion product line. WinXP, like WinNT and Win2K before it, is quite
sensitive to borderline defective or substandard hardware (particularly
motherboards, RAM and hard drives) that will still support Win9x.
