Problems Upgrading win98 to winXP Home SP2

I am attempting to upgrade a win98 box to winxp home, and no matter which
approch I take (Upgrade or new installation) The computer always freezes at
windows XP Setup "Staring windows" Stage. I have tried a formated drive, and
a clean install of win98 with the same results. Any comments would be
appreciated.

What kind of hard drive are you using? IDE, ATA133, SATA?

Disconnect all external devices except for the mouse, monitor, and keyboard.

I have done this. Currently the box is CPU:Intel Celeron 1.1 GHz Processor
with 256K Cache MotherBoard:pLE133 S370 MATX Motherboard Base System
w/Audio, Video, & LAN (BIOS is updated to newest version) RAM: 128MB PC133
SDRAM, 20GB UltraATA (with bare win98 SE installed), and a 52X CD-ROM. (I am
unsure of the manufacturer of HD an CDROM, but can get if needed.)

If Win98 still runs, boot into it and insert the xp cd. At the splash
screen, select Other Tasks and then the Upgrade Advisor. It will tell you
many of the issues that will prevent a successful upgrade.

Can you expand the ram to 256? The onboard video adaptor is using shared
ram. XP is supposed to install in as little as 64mb, but I have heard of
problems doing it sometimes. The video ram is deducted from the 128mb base
ram when calculating ram available to the installer. I could not determine
the amount of shared ram, but I assume it is 16 to 32 mb.

Have you made sure that your PC's hardware components are capable
of supporting WinXP? This information will be found at the PC's
manufacturer's web site, and on Microsoft's Windows Catalog:
(http://www.microsoft.com/whdc/hcl/default.mspx) Additionally, run
Microsoft WinXP Upgrade Advisor to see if you have any incompatible
hardware components or applications.

You should, before proceeding, take a few minutes to ensure that
there are WinXP device drivers available for all of the machine's
components. There may not be, if the PC was specifically designed for
Win98/Me. Also bear in mind that PCs designed for, sold and run fine
with Win9x/Me very often do not meet WinXP's much more stringent
hardware quality requirements. This is particularly true of many
models in Compaq's consumer-class Presario product line or HP's
consumer-class Pavilion product line. WinXP, like WinNT and Win2K
before it, is quite sensitive to borderline defective or substandard
hardware (particularly motherboards, RAM and hard drives) that will
still support Win9x.
