Problem Loading Windows XP Home Edition

I want to load Windows XP Home Edition Upgrade to my
computer. I currently have Windows ME installed. The
instant I insert the disk in the CD Rom, I get two
messages:

"Winnt32 has caused an error in KERNEL32.DLL. Winnt32
will now close."

"The File D:\1386\WINNT32A.DLL could not be loaded or is
corrupt. Set up cannot continue. I first thought it was
a problem with the disk so I returned it and was given a
new one. I still get the same messages. What could be
preventing me from loading Windows Home Edition to my
computer? Thanks for your assistance.

You might want to boot from the XP cd and install that way--gives you the
same choices, but might work...
