Before you try to do anything with the Encrypting File System (EFS) read the
following. Incorrect use of EFS could lead to the total loss of access to
your encrypted files.

What version of XP is installed on your computer? Encryption is
not available on XP Home Edition. "Encrypt contents to secure
data" will be grayed out on the Advanced Attributes dialog. If
you're not sure what version you have, go to Start -> Run and
enter winver in the Open box. Click OK.

If you have XP Home Edition installed on your computer, the
only files and folders you can make private must reside in your
profile. Go to Start -> Run and enter %userprofile% in the Open
box. Click OK. You should be able to make the contents of this
folder private.

Take a look at this article for more info.

You Cannot Select the "Make This Folder Private" Option
http://support.microsoft.com/kb/q307286/

Finally, keep in mind that both of these features, encryption
and folder privacy, are only available on a drive which is
formatted NTFS. If you're not sure what file system you have,
open My Computer, right click your hard drive(s). Select
Properties from the menu. Look on the General page under File
system. Does it say NTFS?

Good luck
