Plaese Help me with my ICS Problem...

I Have 2 computers Connected with a Cat 5 Crossover Cable. Both Computers Have full access to each other, through the network.The Host Computer is Running Win2K Pro, and The Client is using Win XP Home
The Network card which is Connected to the internet is an Intel Pro/100+ and the One to the Client is an SMC 1244TX-CA
The Client has a 3Com 3C900B-TPO
I Have ICS enabled on the SMC card
If I enable ICS on the Intel Card it disables the Network connection, and it disables ICS on the SMC Card
I am not able to get an internet connection on the client with ICS enabled on either card
Can I have both, and if so, How

Can you elaborate what you mean by "If I enable ICS on the Intel Card, it
disables the Network connection"? Which machines cannot connect to the
Internet, Host and/or Client?

ICS can only be enabled on one set of adapters (there can only be one shared
adapter - the one connected to the Internet and another adapter that is
connected to the client).

The Network Connection totally fails, no contact either way with the computer
but the Host (Win2k) also loses connection to the internet until internet connection wizard is run again
I have not been able to get internet on the client (WinXP) computer at all. Just the connection to the shared areas of the host machine
I would connect my XP box directly to the DSL Connection but I would have to totally reconfigure the mac address setup on the ISP site. then change it back after completing my updates
The entire purpose of this process is to make it possible to network the computers frequently, to keep my system up to date
