NT4 to W2K - upgrade error

I can't upgrade my NT4 to W2K with next error:

Upgrade option is disabled \WINNTUPG\NETUPGD.DLL not found.

But I have only 2 lisensed CD from HP distribution WITHOUT
this directory. Where I can download GERMAN version of the
NETUPGD.DLL?

It appears your Windows 2000 CD from HP is OEM designed for new install
on HP systems. They do not support upgrade. You will need to get regular
Windows 2000 retail CD to upgrade your existing NT 4 servers.
