NIC Transmits, but no recieve & no DNS resolution

Hello All,
My pc was win98SE all was fine.
I got Win XP Home Upgrade.
Went thru upgrade, and fixed the pre install issues (SCSI card & exchange
5.0 client removal ).
Performed upgrade, all went well except the NIC does not work.
It lights up, XP says it's fine but IE "webpage can't be found" NAV can't
reach update server etc..
NIC status has transmit count incrementing, but recieve count stays at 6. I
have tried different NICS same results.
Seems like viral / spyware messing with DNS except I can't get web site via
IP address either
When I boot in safe mode networking functions fine.
I can surf web & update some apps. I ran spybot, ewidow,panda activescan, &
counterspy.
All found & removed what they found, but when I reboot the network stops
working.
Re ran malware apps, and found no more problems, but the NIC only works in
SAFE mode.
Any ideas to resolve this issue. I don't see any procesess I don't
recognize.
Any ideas are greatly appreciated.

Try disbling the firewall.

The upgrade had disabled ZA startup, but the firewall was still runing,
