Networking XP/ NTFS PC and W2K/ FAT32 PC

Are there any issues with networking a Laptop using
Windows 2000 on a FAT32 partition and a desktop using
Windows XP on an NTFS partition?

Can the NTFS C: drive on the XP machine be read and mapped
to a drive letter on the Windows 2000 machine?

File system is irrelevant. They will network without problem.
