I am not able to update Network Framework 2.0 (KB928365) with Windows XP
Service pack 2, any suggestions on how to resole this would be greatly

What errors do you get when you try?

You might also try manually downloading and installing that update from
http://www.microsoft.com/downloads/details.aspx?FamilyId=BA3CEB78-8E1B-4C38-ADFD-E8BC95AE548D.
Sometimes the manual install process produces more meaningful error
messages than when pulling the item from Windows update.
