Need advice on NT 4.0 to XP upgrade

I have a Gateway 800 MHz PC with 128 MB of RAM and a 20 GB hard drive that's
currently running NT 4.0. I purchased it from my previous employer (the
hardware, but not the NT license). I have a valid Win98 license from
another, now deceased machine. The ultimate goal is to get a valid XP home
edition license on the Gateway. What's the best way to do this? Do I have
to reformat the hard disk, load Win98, then upgrade to XP? Can I just
uninstall NT 4.0 and then load the upgrade version of XP (because I can
obtain that through the fact that I have a Win98 license...)??

Please let me know what the best approach would be.

Using the XP Home Upgrade CD, select "clean" install. Then, the upgrade
should ask you to insert the Windows 98 CD so as to check for upgrade
qualification.

If you have your old Microsoft 98 installation CD, then you
can indeed perform a "clean install" using the "upgrade version"
of XP. During the setup process, you'll be requested to insert
a previous version of a Windows CD in the CD drive to verify
your eligibility to continue with the clean install. There is no
need to install Windows 98 first.

I would insert the XP cd and run the compatibility test first, make sure you
can get XP drivers for all the hardware you have.
