There is no MS-DOS in Windows XP and you can't start it in MS-DOS
mode.

If you want to downgrade to Windows 98, you need to boot from a
diskette, re-FDISK and reformat the drive, then load Windows 98.

If you can boot up with a USB jump drive or such this can be done with
a Win98 boot disk. If this is an option I can post how it's done.

OK, let me be honest here. I had a "friend" who offered to put xp on my
puter for free, he said it was a brand new in the box copy from the place
hwere he works (left over from a job). Now MS is telling me this is not a
registered copy & i cannot download updates, templates & who knows what else.
i cannot get the activex to cooperate & this is where MS seems to find my
problem. my WIN98Se is a true legal copy of my own. so i thought if i could
get this to load the i could get the xp upgrade to poad over it (which i
already purchased by the way). am i in a pickle or what? can i get some help
or am i screwed? i appreciate your feedback.

There is no way to reboot a WinXP PC into Real Mode DOS unless
you've set up a dual-boot system. The WinNT family of 32-bit (and now
64-bit) graphical desktop operating systems, of which WinXP is the
latest generation, has never used, included, or "ridden upon" MS-DOS.
The Recovery Console's CLI (Command Line Interface) is the closest you
can come to the old "DOS mode."

If your C: drive is formatted using the FAT32 file system, MS-MVP
Doug Knox has kindly provided clear instructions:

The normal way to "uninstall" any operating system is to format
the hard drive and install a new OS of your choice.

Only if you performed an upgrade from Win98/Me, elected to backup
the old system files, and didn't convert the partition to NTFS, can
you then boot into Safe Mode and click Start > Control Panel
Add/Remove Programs. All of these conditions must be met for the
uninstall option to be available.

See the response to your later post.

Boot from your XP upgrade CD and reformat the drive to wipe out the
illegal copy. When the upgrade asks, insert your original 98 CD.

In XP it's not called MS_DOS anymore, but it works pretty much the
same. Boot into Safe Mode with command, or whatever it's called.

However I wouldn't load 98 this way. If you want to wipe out XP
(WHY???) simply boot from the 98 CD and let it reformat. If you want
to dual-boot, there are excellent utilities to help you do this. I
like Partition Magic.

XP has the Recovery Console, which is as close as you can
get to DOS.

No, it's not even close to being the same. (Well, except for the
default background color, that is.... )

How is it different?

If you don't know the differences between and operating system and a
user interface, this isn't the place to seek an education, nor do I have
the time or patience to educate you. You can start here, though:
