Moving Vista Ultimate - Retail Full Version to another PC

I brought Vista Ultimate for my laptop and it appears that it does not run
well as my laptop is somewhat dated. I would like to revert back to Windows
XP and then install Vista Ultimate to my desktop. This is a full retail
version that I purchased, just as I did with XP when it was released. Is
this permissiable?

Remove it from the laptop and install it on the desktop. If activation
squawks for the desktop, explain the situation to the MS rep via the
activation number.
