Your first concern is whether the preinstalled XP has any 'foistware' which
will affect its use. (e.g. Norton, Sonic, AOL) and whether this foistware can
be removed satisfactorily. If not, then you'll need to do a clean install of
XP.

Next, create identical user-accounts as per the old computer.

Then install all of the software you need. You will of course need the discs
and licences to do this. Unfortunately there is no real way of avoiding this
step with an OEM copy of XP.

Transferring the user-data and settings should be a fairly straightforward
matter of copying the profile-folders over, under "Documents and Settings"
You need to do this as Administrator. (and you cannot copy the folder for the
presently logged-on user) 2000 and XP profiles are sufficiently similar that
they are directly transferrable.

The other approach, which I would not favour but which avoids the need for
software reinstallation, is to copy the entire Windows 2000 installation over
to the new computer, then perform an in-place upgrade to XP. To do this you'd
need disk-cloning software, plus a retail copy of XP, as OEM copies don't
allow for upgrade installs. Hence it doesn't make much economic sense unless
you are completely stuck when it comes to reinstalling the software you need.

Unless they've updated it, USMT can only be used on a domain. At least, that
was the case when I last tried it.

As it appears to be a single computer, that is unlikely to be the case.
