Make a folder private

I am running XP Pro SR2. I have 2 hard drives both formated for NTSF. I share
my entire second drive on my network, however there is one folder on that
drive that absolutly needs to remain private. What must I do to limit access
to that file to the one computer so that only I can access it

XP does not use passwords to protect resources. It uses permissions instead.

Note that the file system must be NTFS, not FAT32.

Passwording of folders is not supported unless you zip them. When you do
(right click a folder, then "send to > compressed folder") and then open the
zip file, you will find an option under file>"add a password". Otherwise,
use third-party software. Google "password protect folders".
