All I get out of this mobo is a Beep every 5 seconds
No Post, No Video, CPU Fan Spins Hard Drive spins, CD Roms have power
Using AMD Sempron 3300
KByte PC3200 DDR400 512MB

I also tried and Athlon 1700 with Kingston DDR333 1GB with the same
result

The beep is telling you that the mainboard can't find RAM, or that the
memory controller isn't communicating with the CPU. That could be
misleading, though. A bad power supply can cause a mainboard not to POST,
and still present signs of life, such as power to CD drives, fans, etc.

Try the following, in order of (least expensive to try):
1) Remove the CMOS battery, and short the CMOS jumper to clear CMOS. If
this gets the mainboard to POST, don't forget to load default settings.
2) Temporarily install a known good power supply.
3) Replace the mainboard.

Thanks for the info, I ended up exchanging the board and everything is
working fine.
