licenses down the food chain

I have three retail copies of XP Pro. I have it installed on two computers,
A and B, so one copy is surplus. I am buying another computer, which will
replace computer A. Computer A will replace computer B. Computer B will be
scrapped.

The new computer is a Mac, and it will be running WinXP under VMWare Fusion
as a virtual machine. What I'd like to do is to run a convertor on computer
A to create a virtual machine for the Mac. Then I'd like to copy a disk
image from B to A. If this is possible I won't need the third XP license.

Can I do this under the terms of the license? Will I run into problems with
activation?

Retail licenses are transferrable to a different computer. As long as there
is only one copy with a particular license installed it's fine. If
activation doesn't go through on the internet then do a phone activation.

If it's been over 120 days since the last activation, it will activate
on line and asking permission from MS to use what one has paid for is
not necessary although some would question why it should *ever* be
necessary.

the INFAMOUS should be NO problem.
just remember once you install, run and activate it in the VM environment it uses the license and would not be available to use on another computer.
