Consider that I have two hardisk first one is of 120GB[NEW] & second is of
40GB[OLD].

assume that ,already old will consists of winXP & I want to install other
winxp on NEW hardisk, what I will do is I will l remove OLD Drive & I will
install on NEW hardisk.

After installation again I will fix back my OLD drive ,

Tell me whether I will have BOOT option to choose between 2 OS ,If not how
to make boot option by editing BOOT.ini file & in which Hardisk BOOT.ini has
to be edited is it NEW or OLD

If it is NEW hardisk boot.ini ,what will happen if I remove NEW hardisk
,does it effect booting to the OLD hard disk & vice versa.

any solutions please...

Anil, leave the old hard drive connected and set the cdrom as first boot
device in Bios. The new XP install will see the
old XP install and add it to the boot.ini file. You will then have a
boot menu at startup to select one of the two WinXP's
Simple as that. When you are booting from the WinXP CD choose New
Installation>Advanced. This will give you the
option of selecting which drive you want XP to install to. DON'T select
Upgrade.
