Installing Services without a 1053 error

Guys,

I've used INSTSRV.EXE to create services of a batch file(converted to exe).
It came up with a 1053 service where the application did not start up in a
appropriate time. I thought I made a mistake so I used:

* INSTSVR.EXE, vbscripts, sc.exe to create the service.
* OWN and SHARED memory options
* Own Exe, iconfig.exe and notepad.exe as tests.
* My XP machine and Svr2003 SP1 is fully patched.
* Local Administrator (with run as service) and Local System Account.

What the %^&^^%% has gone wrong? This sort of stuff is supposed to be
no-brainers and I've done this before. Why is it failing now?
