I am running XP Home with MS Works Spreadsheet. I have
tried to download .xls files from two different sites and
open them in Works s/sheet. On each occasion I get an
error message saying that the files are encrypted or
password protected (they're not). Any suggestions,
please?

Try posting in an MS Works or Excel group. This group is about the Windows
XP operating system.

Excel uses an entirely different format from the spreadsheet of Works.
Presuming you can't get the author to provide a sheet in a 'common'
format (like CSV), then your best bet is the free viewer for Excel; you
will not be able to manipulate the files, but will be able to view them.

You should be able to highlight the data in the viewer and paste into Works.
Note: the answers may be used rather than the formulas.
