how to create a watermark or new stationary

I have been asked to create stationary with our company logo (.jpg) as
watermark for Outlook 2003, WinXP SP2. Word2003 is set as the email editor
which requires watermark file to be HTML format(?). How can I create the
watermark and stationary? I have search MS knowledgebase with no success.
