helpctr.exe error message

When I click "Help & Support Center" in the Windows
Explorer I receive the following message: helpctr.exe is
not a valid Win 32 application.

A working copy of helpctr.exe is located at:
c:\windows\help center\binaries

a shortcut islocated at:
c:\documents & settings\family

Any idea what is causing this? What is the solution?
