help with updating xp1 to xp2

I am having a problem updating my HP from xp1 to xp2. Everytime Microsoft
update download and attempts to install xp2, I get an error message. The
message looks like this------>The file c:\system32\cmd.exe is open or in use
by another application. Close all other applications and then click retry.
<--------- When updating to xp2, there are no other windows or applications
open or running. I don't know what the problem is, but it is annoying me. I
have been trying to update for 2 weeks now, after formatting my hard drive.
Please help!

Download the full install of Service Pack 2 for Windows XP. You can use the
Network Installation Package for IT Professionals and Developers for your
computer without any worries..

If this install fails then look at the Service Pack 2 install log for
details. The log file is located here:

C:\Windows\Svcpack.log

Also, open up the task manager and kill the process called "cmd.exe".

Have you scanned your computer for viruses, malware and/or spyware?

What happens when you type the following in the Run dialog box?

cmd.exe
