Get PROCESS1_INITIALIZATION_FAILED when upgrading to 2003 Server

Hello,
I try to upgrade my HP DL380G3 server from 2000 to 2003. The server boots
from a SAN (MSA1000) with Fiber Channel card FCA 2101. After I have run
winnt32.exe /checkupgradeonly (no errors) and winnt32.exe is run, the install
files is copied to SAN disk, and the server reboots to start the rest of the
install. When the XP logo comes up and then the bluescreen:
PROCESS1_INITIALIZATION_FAILED
*** STOP: 0x0000006B (0xc000003A, 0x00000002, 0x00000000, 0x00000000)

I have tried to use F6 and install the FCA2101 driver manualy, but with the
same error.

GoBack is not installed!

Anyone seen this behavior before?
