File protection tells me an essential file has been
replaced and to insert my XP CDRom to restore the file.

PROBLEM: my OEM does not provided an XP CDRom, only a
system restore disk (ghosted image).

MS said this was legit, some licenses do not require the
OEM to provide a windows CD.

How can I get signed versions of DLL files without an XP
CDRom?
I need ctl3d32.dll

Thanks

Don't worry about it. If a setup program copies that file then WFP will copy it's version over. EVEN IF BOTH VERSIONS ARE EXACTLY THE SAME. XP's WFP isn't very smart.

Normally the files are also in a folder called dllcache. Maybe your OEM didn't fill it. Most OEM have a setup folder on the disk as well - look for a foilder called i386. Else ask the people you paid money to for the answer. That's why you paid them.
