DOES ANYONE HAVE A CLUE ABOUT THIS?

What is causing windows 2000 pro to all of a sudden start
prompting at shutdown if I want to syncronize?
 
You probably have Offline Files enabled and connected to a share thas has
automatic caching enabled. Check On Folder Options (Control Panet or the
Toos Menu on Explorer) the status of Offline files and disable them if you
don't need them.
