Computer Won't Stay in Stand-By Mode

Hello,

I just have an issue. When ever I put my computer into Stand-By mode, it
will stay there for quite some time, but automatically wakes up again. I
find no error messages or anything, it just wakes up on its own (after being
in stand-by mode for a while...not a consistent time).

Anyhow, I'm pretty sure there is some process running in the background that
is waking it up periodically.

My computer is as follows:

Compaq Presario 5106CA
AMD Athlon Thunderbird 1.2 GHz
Windows XP Professional (SP1 + current updates)
512 MB RAM
40 GB Maxtor HDD
ATI Radeon 9600XT Graphics
Cicero 5-port USB 2.0 PCI Card
PC-Tel 56K modem
SMZ 10/100 PCI Network Card (for DSL internet connection)
Compaq 16X DVD-ROM
Phillips CCD 4801 CD-RW
Toshiba Floppy Disc Drive

Hardware:
Epson C62 Printer (Parallel)
Logitech Quickcam 3000 Pro Webcam (USB)
Gravis Game Pad Pro (USB)
Logitech MX500 Mouse (USB)
Compaq Internet Keyboard (USB)
Compaq FS750 Monitor

I also have Norton Anti-Virus and Zonealarm Loaded in the background

I just need some advice on where to start or if there are any useful
webpages, etc... that can help me find what is waking my computer.
