computer freezes

Every once a while, my computer locks up with no warning
messages of any sorts. I'm running XP pro on a AMD XP
1800+ computer with 256mb PC3200 ddr ram, Nvidia Gforce4
MX440 video card. Many times these lock ups occur when
I'm rebooting and windows either just started, or is
starting up. I'm guessing it could be because I have a
few background programs running but I'm not definite if
it's a hardware issue or a XP issue. Anyone with any
suggestions?

What do you mean you have background programs running? if
the computer is just starting up there shouldnt be any
background programs running yet because the windows shell
hasnt even finished loading yet. or At what point does it
lock up? what do you see on the screen when it locks up.
and does anything happen on the screen or otherwise when
it does lock up. also are the conditions different when it
doesnt lock up?
