Clean Install with Upgrade Version

I own a copy of Win2KPro and want to upgrade to XP. I
want to do a clean install of XP though and not upgrade
over an existing copy of W2K.

Is this possible with the upgrade version of XP Pro?

Yes it is possible. When you are installing WinXP from
the cd, there will be a point when it asks you for a
reference from your old operating system. That's where
you put your previous operating system cd in the cd drive
and continue. Then, of course you will have to put the
Winxp CD back in the drive bay, unless you have two cd
drives or one writer and one cd drive.
