Certificate of Authenticity

I purchased an XP home edition upgrade(2002 version) from
Circuit City. The inner packet did not have
a "certificate of authenticity" foil or separate sheet.
The disc does have a holographic Microsoft/Genuine
display on it and the packet does have the product
key....DOES ANYONE KNOW IF THIS UPGRADE SHOULD COME WITH
THAT "CERTIFICATE"?

Did this come in a box or cellophane shrink-wrap? If box, it is a orange
sticker on the back of the green folder. If shrink-wrap, it's OEM and the
COA sticker was on the cellophane shrink-wrap. The stickers are on the
outside of the shrink-wrap so system builders do not need to open the
package to stick it on the computer case.
Since you say upgrade the CD Key is all you need, there isn't a sticker to
place on the case.
