Cannot boot after hardware change and activation attempt

I replaced the motherboard and cpu on an XP Home system. Prior to the
hardware changes there was no detectable problem with the OS. Upon the
first re-boot after the hardware changes, the notice appeared regarding the
need to re-activate Windows. I hit OK expecting the activation window to
appear, however it did not. After waiting for an extended period of time, I
had no alternative other than to re-boot. Now the system will not boot,
rather it displays the Windows logo with the scroll bar beneath, then
restarts back to the BIOS. It just loops over and over. I've attempted
Safe Mode and boot to last known good configuration but only get the same
results. Anyone have any ideas on what to do at this point? Thanks!

Also, this is an E-Machine with only a restore CD. I do have other XP cd's
at my disposal though.

I believe you have a OEM version XP on that Emachine which was tied to the
old MOBO.
By changing the mobo you have lost the license for XP and need to install a
fresh new XP.
You can try the restore CD and see if it will take it....you have a 50/50
chance
You can try a "repair" installation with another XP CD....again a
50/50chance.
