cannot able to upgrade to win2000 prof

hi all....

i have a dual boot system with winXp on NTFS partiton and win98 SE on FAT32........
when iam trying to upgrade from WIN98 to WIN2000 prof...its giving an error msg as................

WINNT32 caused an exception c0000006h in module KERNEL32.DLL at 0167 : bff7c7e

could anyone help me solve this problem ............

Upgrading from Win98 to Win2000 is bad news - you're
likely to get lots of problems. Do a clean installation of
Win2000 instead and you will end up with a solid, robust OS.
When finished, remember to restore the WinXP versions
of c:\ntldr and c:\ntdetect.com.
