Background Task Server Error

After booting 'Windows XP Pro.' all OK and at last moment the 'Background Task Server' window pops up with Send/Don't Send. It refers to two files in 'Temp' folder. Have deleted all in "Temp" folders and 'Internet Temp' folder plus the 'Cookies' but the thing keeps popping up ! After cancelling the pop up the PC works fine but why does it appear ??? Have tried various Reg. Fixers but to no avail. Tempted to reformat hard drive and load a new XP.
