i just upgraded to XP on a laptop and
went through all the steps, which at various
times connected to microsoft for various
reasons...however, now that i am all upgraded,
i seem to have lost my modem...i've tried to
call ATT but they are not answering calls today
for some reason...HELP!

it shows the modem is "working properly"
but will not make a connection, it will not
bring up even a dial tone,
then says unable to establish connection...HELP!

find the page on the internet that has drivers for your laptop..
you will need a driver for the modem that is XP or at least windows 2000
compatible

Or if you have the drivers for the laptop on a cd try looking for the
drivers for XP or windows2000.

That sometimes happens during an upgrade.

Go to Device Manager (Start | Run | devmgmt.msc), un-install the
modem, then click Action | "Scan for hardware changes" to re-install
it.
