Good idea / bad idea - upgrading to Windows XP from

Depends on whether or not you need XP. XP Pro offers very little
over Win2000 Pro. XP certainly has a pretty face and is generally
better at plug and play with new hardware.

If you're already using Win2000 Pro and are satisfied with it, why
upgrade? But if you do decide to upgrade, go with the upgrade
install first. Later on you can always do a clean install if the
upgrade does not go well.

Upgrade should go fine, and retain all your installed software and data.
One or two precautions - first Uninstall (not merely disable) any AV or
CD burning suite, and any system utility suite like Norton. Then run
the Upgrade CD from the existing system. If it does not work out
(improbable) you have lost only a little time and can still do a clean
install. If you do an immediate clean install you commit to a *lot* of
time reinstalling everything.
