Any issues updating migrating from Windows 2000 Pro to Windows XP professional?

I have a Windows 2k machine with enough disk space and memory.
Processor is only PIII 800 Mhz. Standalone machine.

Will I see a slowdown in thw way XP Pro runs versus WIn 2k?

As for drivers and cards I have SoundBlaster Live and a PCI 2.0 USB
card.
Modem is external USB. Extra hard drive is external USB.

Have Norton Installed, Quicken, Office XP (2002) among other
things....

I need to upgrade in place without doing a clean install. I will
install as FAT32 as I use Ghost and prefer the ability to boot to DOS
and restore my machine.

I have latest JVM and Direct X installed. Machine is for surfing, very
few games, research, etc...

*****What problems should I anticipate besides some driver issues
perhaps?

*****Any pros/cons of Win XP over 2K?

I have a PIII 600-E and I just upgraded from Windows 2000. My machine
actually seems a tad faster under XP, but this is just the general "feel";
I've done nothing to actually benchmark performance. Oh yeah, I haven't yet
installed anti-virus as I am trying to decide between getting the CA
MyETrust Anti-Virus for free or testing NOD32 for $40. I do have benchmarks
indicating My eTrust Anti-Virus real-time scanner puts a helluva drag on an
NTFS formatted system.

Note, I did a clean install and use the NTFS format.

Also note, there is nothing particularly new in Windows XP over Windows
2000. It is basically Windows 2000 Professional Plus...

Don't use real time scanning. You are technical enough (more than enough) to not need real time scanning.

I've tried Etrust's Armor suite and didn't like it very much - also because
of the drag on the system. I use their stand alone antivirus program and
run with real time scanning. Don't notice the same problem with it. Have
never tried installing just the a/v from Armor collection.
