XP upgrade does not offer upgrade option

My motherboard died so I upgraded my system with a new motherboard. I
had been using Win2000 pro with a win98 dual boot (this is not a full
dual boot because I only had the MSDOS part of win98 setup) before the
crash. I bought XP upgrade because I wanted to upgrade the install on
my HD and keep my accounts and programs.

When I boot from the Cd I do not get an option to upgrade. Install
gets to the stage where it asks where I want to istall XP. When I
direct it to the partion where my windows had been, It says it will
overwrite the previous installation and I will lose all accounts and
programs.

Is there any way to get an upgrade instead of a new install? I really
do not want XP and only got it to save me the trouble of reinstalling
everything.

Is that a Windows XP Upgrade or an OEM version of Windows XP?
OEM only performs a Clean Install and does not allow an upgrade since
it is intended only for a new computer.
You seem to be describing the results of using an OEM Windows XP.
